These terms and conditions (“Terms”) govern your use of the Sprout Chatbot platform (“the Service” or “Our Service”), provided by hSenid Mobile Solutions (“the Company” or “We”). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

1. Acceptance of Terms

By electronically agreeing, such as by clicking “I agree,” or by accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to all Terms, you must cease using the Service.

2. Copyright Information

We respect the intellectual property rights of others and require our users to do the same. If you believe content on Sprout infringes upon your copyright, please notify us at [insert contact information]. Upon receiving a valid notice of copyright infringement, we will promptly investigate and take appropriate action, including content removal if necessary. Repeat infringers may have their accounts terminated.
2.1 User-Generated Content

“User-Generated Content” (UGC) includes all content submitted by users, such as text, images, videos, and other materials.

  • User Warranties: By uploading UGC, you affirm that you either own the necessary rights to the content or have obtained appropriate permissions.
  • Retention of Rights: You retain ownership of copyright and other intellectual property rights for UGC.
  • License Grant: You grant hSenid Mobile Solutions a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, and display UGC solely for purposes of operating, enhancing, and promoting the Service.
2.2 Prohibited Content

Users may not upload or submit any UGC that:

  • Infringes on third-party intellectual property rights.
  • Violates applicable laws or regulations.
  • Contains offensive, defamatory, or obscene material.
  • Harms or exploits minors.
  • Includes viruses or other malicious code.
  • Meta Pixel and Custom Audiences: By using our Service, you consent to the use of Meta pixels and similar technologies on our landing pages. These tools allow us to collect information on user interactions to create custom and lookalike audiences for targeted advertising.
  • Responsibility for Data: Users are responsible for ensuring that any content shared with or through our platform does not infringe on the privacy rights of others. By consenting to data collection through cookies and tracking technologies, you agree to the processing of your data for targeted advertising purposes.

3. Intellectual Property

The Service, including all original content (excluding UGC), features, and functionality, is the exclusive property of hSenid Mobile Solutions. Protected elements include, but are not limited to, user interfaces, designs, code, products, and services, which are governed by intellectual property laws.
License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for internal business purposes only. You agree not to:

You may submit feedback or suggestions regarding the Service. By submitting this feedback, you grant us a perpetual, irrevocable, royalty-free license to use it as part of our products and services without any obligation or compensation.

4. Termination of Service

We reserve the right to suspend or terminate your account at any time, with or without notice, if you breach these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service will cease immediately. You are responsible for any actions taken with your account prior to termination.
    • User-Initiated Termination: You may terminate your account at any time through the account settings. Following termination, you will no longer have access to your data. We may retain certain data as required by law or for legitimate business needs.
    • Appeal Process: If you believe your account was terminated unfairly, you may appeal by contacting us. We will review each appeal on a case-by-case basis.

5. Governing Law and Dispute Resolution

These Terms are governed by the laws of Sri Lanka, excluding its conflict of law principles. Any disputes arising from or relating to these Terms shall be resolved exclusively in the courts of Sri Lanka.
5.1 Alternative Dispute Resolution
You agree to first attempt to resolve any disputes informally by contacting us. If informal resolution fails, either party may pursue alternative dispute resolution methods.

6. External Links Disclaimer

The Service may contain links to third-party websites or services not owned or controlled by Sprout. We are not responsible for the content, privacy policies, or practices of any third-party websites. You acknowledge that Sprout shall not be held liable for any loss or damage resulting from your use of third-party websites or services.

7. Permitted and Prohibited Uses

You may use Sprout only for lawful purposes. You agree not to:
    • Violate any applicable laws or regulations.
    • Post offensive, defamatory, or obscene content.
    • Impersonate any person or entity.
    • Interfere with or disrupt the Service.
    • Attempt to access or reverse engineer the Service’s source code.
    • Engage in activities that may harm the reputation of Sprout or its users.
    • You may not disable, interfere with, or circumvent any feature of the Service, including tracking technologies used to collect data in line with our Privacy Policy.

8. Disclaimers and Warranties

You use the Service at your own risk. The Service is provided “as is” and “as available,” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Sprout is not responsible for any decisions you make based on information provided by the chatbot. For specific advice, consult a professional.

Data Accuracy and Advertising: We use reasonable efforts to ensure that the data collected via Meta pixels is accurate and used responsibly. However, we disclaim any warranties related to the accuracy or completeness of this data and its use for advertising purposes.

9. Changes to Terms

We reserve the right to update or modify these Terms at any time. Material changes will be communicated to you in advance, and your continued use of the Service following such changes constitutes acceptance of the new Terms.

10. Fees, Payments, and Refunds

Subscription Plans
  • Launch Plan:  Priced at USD19/month, Includes 200 replies.
  • Startup Plan: Priced at USD29/month, includes 400 replies.
  • Basic Plan: Priced at USD49/month, includes 900 replies.
  • Growth Plan: Priced at USD69/month, includes 1500 replies.
  • Business Plan: Priced at $149/month, includes 5,000 replies.
  • Enterprise Plan: Custom pricing based on specific requirements.
Payment Terms
  • Payments are due monthly in advance for the selected subscription plan.
  • Payments can be made via electronic means such as credit/debit cards through Stripe.
  • Upgrades will result in immediate charges for the new plan’s rate.
Subscription Renewal
  • Subscriptions automatically renew monthly unless canceled.
  • Charges will apply at the rate specified for the selected plan upon renewal.
Usage Limits and Additional Charges
  • Users are subject to reply limits based on their subscription plan. Excess usage may incur additional fees.
Refunds
  • No refunds will be issued for partial or unused service periods. Subscription fees may change, and users will be notified in advance to accept the new fees or cancel their subscription.
Non-Payment
  • If subscription fees are not paid on time, Sprout reserves the right to suspend or terminate access to the Service.
10.1 Consent to Use Data for Optimization and Advertising
  • By subscribing to any of our plans, you consent to the use of data collected through tracking technologies, such as Meta pixels, for optimizing our advertising campaigns. You may withdraw this consent at any time by adjusting your cookie preferences or opting out through Facebook settings.
